Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, applications, partner portal, and related services (collectively, the "Services") offered by Kingstone Systems ("Kingstone," "we," "us," or "our"). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Who we are

Kingstone Systems designs, builds, and operates AI agents and business automation systems for companies and certified partners. Our public website is available at kingstonesystems.com. Certain features, including the partner dashboard, require a registered account.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services. If you use the Services on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

3. Accounts and security

When you create an account, you agree to provide accurate information and keep your credentials confidential. You are responsible for all activity under your account. Notify us promptly at legal@kingstonesystems.com if you suspect unauthorized access.

We may suspend or terminate accounts that violate these Terms, pose a security risk, or remain inactive for an extended period, subject to any notice required by applicable law.

4. Services we provide

Kingstone may offer, among other things:

  • Consulting, design, deployment, and operation of AI voice agents and automations;
  • A partner portal with tools, resources, and workflow features for certified partners;
  • Website forms, scheduling integrations, and related business communications; and
  • Trial or membership access to certain portal features, as described at signup.

Specific deliverables, fees, timelines, and service levels for paid engagements are defined in a separate proposal, statement of work, master services agreement, or order form signed by you and Kingstone. If there is a conflict between those documents and these Terms regarding a paid engagement, the signed commercial agreement controls.

5. Acceptable use

You agree not to:

  • Use the Services in violation of law, regulation, or third-party rights;
  • Upload malware, attempt unauthorized access, or interfere with system integrity;
  • Scrape, reverse engineer, or copy the Services except as permitted by law;
  • Use AI or automation features to send spam, harass others, or impersonate individuals;
  • Process personal data through the Services without a lawful basis and appropriate notices;
  • Circumvent usage limits, trial restrictions, or access controls; or
  • Resell or sublicense portal access except as expressly authorized by Kingstone.

You are solely responsible for how you configure automations, prompts, integrations, and outbound communications. You must obtain required consents before contacting individuals via phone, SMS, email, or messaging platforms.

6. AI and automation disclaimer

AI-generated outputs may be inaccurate, incomplete, or inappropriate. The Services are provided to assist your business operations; they are not a substitute for professional legal, medical, financial, or other licensed advice. You are responsible for reviewing outputs before relying on them and for implementing human oversight, escalation paths, and compliance controls appropriate to your industry.

Kingstone does not guarantee specific business results, lead volume, revenue, uptime of third-party platforms, or error-free performance of AI models or integrations.

7. Your content and data

You retain ownership of content and data you submit to the Services ("Customer Content"). You grant Kingstone a limited license to host, process, transmit, and display Customer Content solely to provide, secure, and improve the Services and as otherwise described in our Privacy Policy.

You represent that you have all rights necessary to provide Customer Content and that its use through the Services will not infringe third-party rights.

8. Intellectual property

Kingstone and its licensors own the Services, including software, branding, documentation, templates, and training materials made available through the portal. Except for the limited rights expressly granted, no license is transferred to you.

Feedback you provide may be used by Kingstone without restriction or compensation.

9. Fees, trials, and payment

Paid services are billed as stated in your commercial agreement. Where a free trial or membership tier is offered, we may change or discontinue it with reasonable notice. Failure to pay amounts when due may result in suspension of access.

Except where required by law or stated in your commercial agreement, fees are non-refundable.

10. Confidentiality

Each party may receive non-public information from the other. The receiving party will use reasonable care to protect confidential information and use it only for purposes related to the Services. This obligation does not apply to information that is public, independently developed, or rightfully received from a third party without restriction.

11. Third-party services

The Services may integrate with third-party tools (for example, CRMs, telephony providers, analytics, cloud infrastructure, or scheduling platforms). Your use of those tools is governed by their terms. Kingstone is not responsible for third-party products or services.

12. Disclaimer of warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, KINGSTONE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KINGSTONE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO KINGSTONE FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow certain limitations, so the above may not apply to you in full.

14. Indemnification

You will defend and indemnify Kingstone against claims arising from your Customer Content, your use of the Services in violation of these Terms or applicable law, or your automations and outbound communications, except to the extent caused by Kingstone's gross negligence or willful misconduct.

15. Term and termination

You may stop using the Services at any time. We may suspend or terminate access if you breach these Terms or if continued provision creates legal or security risk. Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitations of liability, and indemnification.

16. Dispute resolution and governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Delaware, and you consent to their exclusive jurisdiction, except that either party may seek injunctive relief for misuse of intellectual property or confidential information.

17. Changes

We may update these Terms from time to time. If we make material changes, we will post the updated Terms on this page and update the "Last updated" date. Continued use after changes become effective constitutes acceptance of the revised Terms.
