Terms of Service

These Terms of Service ("Terms") govern your use of the Kingstone Systems website, client-access pages, and related online services (collectively, the "Online Services"). Separate proposals, statements of work, order forms, or service agreements govern paid client engagements. By using the Online Services, you agree to these Terms. If you do not agree, do not use them.

1. Who we are

Kingstone Systems designs, builds, and operates AI systems for customer-facing operations. Our work may include customer inquiry handling, intake, qualification, scheduling, messaging, workflow integration, operational review, and explicit handoffs to people.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Online Services. If you use them on behalf of an organization, you represent that you have authority to act for that organization.

3. Client engagements

The scope, deliverables, fees, timeline, support, service levels, data responsibilities, and ownership terms for a client implementation are defined in the written commercial agreement for that engagement. Website descriptions and demonstrations are illustrative and do not add deliverables to a signed agreement. If these Terms conflict with a signed commercial agreement concerning a paid engagement, the signed agreement controls.

4. Client access and account security

Some clients receive access to a private dashboard or other restricted page for their implementation. Access is limited to authorized users. You must provide accurate information, keep credentials confidential, and notify us at legal@kingstonesystems.com if you suspect unauthorized access. We may suspend access to protect a client, Kingstone, or the security of the service.

5. Acceptable use

You agree not to:

  • Use the Online Services or a Kingstone implementation unlawfully or to violate third-party rights;
  • Upload malware, attempt unauthorized access, or interfere with service integrity;
  • Scrape, reverse engineer, or copy restricted portions of the Online Services except as permitted by law;
  • Use an implementation to send spam, harass people, deceive them, or impersonate another person;
  • Submit or process personal information without the notices, consents, and lawful basis required for your use case; or
  • Circumvent access controls, security measures, or agreed usage limits.

6. AI systems and human oversight

AI-generated responses may be inaccurate, incomplete, or inappropriate. Kingstone systems are designed around an agreed operational scope, approved information, guardrails, and human escalation paths, but no AI model or integration is error-free. You remain responsible for the professional, regulatory, and operational decisions made by your organization and for providing appropriate human oversight.

Unless expressly covered by a signed agreement, Kingstone does not guarantee a specific business result, lead volume, revenue amount, uninterrupted availability of a third-party platform, or error-free performance.

7. Your content and operational data

You retain ownership of information, business rules, records, and other materials you provide ("Customer Content"). You grant Kingstone the limited rights needed to host, process, transmit, and display Customer Content to deliver, secure, support, and improve the agreed implementation. Our handling of personal information is described in our Privacy Policy and, where applicable, the client agreement.

You represent that you have the rights and lawful basis required to provide Customer Content and instruct Kingstone to process it for the agreed purpose.

8. Intellectual property and deliverables

Kingstone retains ownership of its pre-existing software, methods, reusable components, documentation, branding, and know-how. Ownership and permitted use of client-specific deliverables are governed by the applicable commercial agreement. No rights are transferred except as expressly stated in these Terms or that agreement.

9. Fees and payment

Fees, payment dates, recurring provider costs, cancellation terms, and any refund rights are stated in the applicable commercial agreement. Except where required by law or stated in that agreement, amounts paid are non-refundable.

10. Confidentiality

Each party may receive non-public information from the other. The receiving party will use reasonable care to protect that information and use it only for the engagement or another authorized purpose. This does not apply to information that is public through no breach, independently developed, or lawfully received without restriction.

11. Third-party services

An implementation may connect to third-party services such as telephony, messaging, AI models, scheduling tools, CRMs, cloud infrastructure, or email providers. Those services are governed by their own terms and may change or become unavailable. Responsibility for third-party fees, accounts, and availability is allocated in the client agreement.

12. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE ONLINE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." KINGSTONE DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CLIENT IMPLEMENTATION WARRANTIES, IF ANY, ARE ONLY THOSE EXPRESSLY STATED IN THE APPLICABLE COMMERCIAL AGREEMENT.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KINGSTONE WILL NOT BE LIABLE UNDER THESE TERMS FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. KINGSTONE'S TOTAL LIABILITY ARISING FROM THE ONLINE SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID FOR THE ONLINE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM OR ONE HUNDRED U.S. DOLLARS ($100). LIABILITY FOR A PAID CLIENT ENGAGEMENT IS GOVERNED BY ITS COMMERCIAL AGREEMENT.

Some jurisdictions do not allow certain exclusions or limitations, so they may not apply in full.

14. Suspension and termination

You may stop using the public website at any time. We may restrict Online Services access for a Terms violation, non-payment under an applicable agreement, or a material legal or security risk. Ending a paid engagement is governed by its commercial agreement.

15. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules. Disputes concerning these Terms will be resolved in the state or federal courts located in Delaware, except where applicable law requires otherwise. A client agreement may specify different dispute terms for that engagement.

16. Changes and contact
